Startup Advisory
Our startup advisory service supports founders from the decision to incorporate through to their first rounds of funding. We help you pick the right legal structure, set up the company or LLP, keep it compliant, and get your numbers and documents ready for investors.
Most early-stage problems we see are avoidable: a structure that does not suit fundraising, missed filings that lead to penalties, or founder and investor shareholdings that were never documented properly. We aim to get these right at the start so they do not slow you down later.
Who this is for
- Founders planning to start a business and choosing between a private limited company, LLP, partnership or proprietorship
- Early-stage companies that need routine accounting, tax and ROC compliance handled for them
- Startups preparing for angel, seed or Series A funding
- Founders with co-founders or investors abroad who need foreign investment (FEMA) reporting
What startup advisory covers
- Entity selection: comparing a private limited company, LLP and other structures for liability, tax, compliance load and fundraising
- Incorporation and registrations: company or LLP incorporation, PAN, TAN, GST, professional tax, shops and establishment and other registrations a new business needs
- Startup India (DPIIT) recognition: checking eligibility and preparing the application, and explaining which benefits recognition can unlock
- Ongoing compliance: bookkeeping, GST and TDS returns, income tax filings, and annual ROC filings with the Registrar of Companies
- Shareholding and cap table: founder share allotments, ESOP pool planning, and keeping the cap table and statutory registers in order
- Fundraise support: financial projections, valuation coordination, investor due-diligence preparation, and post-allotment filings including FEMA reporting for foreign investment
How we work
- An initial call to understand your business, founders and plans
- A written scope and engagement letter so you know what is covered
- Setup: incorporation, registrations and a compliance calendar
- Ongoing monthly and annual compliance, with a single point of contact
- Support at key events such as a fundraise, new co-founder or change in structure
Frequently asked questions
Should I register a private limited company or an LLP?
It depends on your plans. A private limited company is usually preferred if you intend to raise equity from angel or venture investors or issue ESOPs. An LLP has lighter compliance and can suit service businesses that do not plan to raise outside equity. We compare both against your specific situation before you decide.
How long does it take to incorporate a company?
Once documents are in order, incorporation through the Ministry of Corporate Affairs portal typically takes one to two weeks, depending on name approval and government processing times.
What is DPIIT recognition and do I need it?
DPIIT recognition is the Government of India’s Startup India recognition for eligible startups. It is optional, but it can make a startup eligible for certain tax and regulatory benefits. We check whether you qualify and whether the benefits are relevant to you.
Can you help when an investor is based outside India?
Yes. Foreign investment into an Indian company has pricing and reporting requirements under FEMA. We coordinate the valuation and handle the required filings after shares are allotted.
